1. Parties to This Agreement

This Coaching Agreement ("Agreement") is entered into between [Your Name], trading as [Business Name], [Your Town] (the "Coach"), and the individual named in the signature block below (the "Client").

This Agreement takes effect on the date signed below and governs all coaching services provided by the Coach to the Client.

2. Nature of Coaching

Important: Coaching is a professional development and goal-focused relationship. It is not therapy, counselling, psychotherapy, mentoring, or the giving of professional advice (legal, financial, medical, or otherwise). The Coach does not diagnose, treat, or advise on mental health conditions. The Client is responsible for their own decisions, actions, and results at all times.

If at any point it becomes apparent that the Client would benefit from therapeutic or clinical support, the Coach will respectfully acknowledge this and, where appropriate, signpost the Client towards suitable professional services.

3. Coaching Services

The Coach agrees to provide life/business coaching services as mutually agreed. Sessions will be delivered as follows:

Session dates and times will be confirmed in writing (email or calendar invite) at least [48 / 24] hours in advance. The Coach will make reasonable efforts to accommodate the Client's schedule.

5. Confidentiality

Everything discussed within coaching sessions is treated as strictly confidential. The Coach will not disclose the identity of the Client, nor the content of sessions, to any third party without the Client's prior written consent. This includes, but is not limited to, conversations with the Coach's supervisor (where client identity will be anonymised).

6. Limits of Confidentiality

Confidentiality cannot be absolute. The Coach is required to act on information disclosed in sessions where there is a serious and credible risk of harm — to the Client, to another person, or to a child or vulnerable adult. In such circumstances, the Coach may be required by law, or by their professional duty, to contact the relevant authorities. The Coach will, wherever possible, discuss this with the Client before taking any action.

The Coach operates in accordance with their duty to safeguard children and vulnerable adults under applicable UK law. Any concerns about the welfare of a child or vulnerable adult will be handled in accordance with current statutory guidance.

7. Cancellation and Rescheduling

The following cancellation policy applies to all individually booked sessions:

Emergency cancellations due to documented serious illness or bereavement may be waived at the Coach's discretion. Each client is permitted a maximum of [one / two] discretionary waiver(s) per programme or 12-month period.

If the Coach needs to cancel a session, the Client will receive a full reschedule at a mutually convenient time. The Coach will give as much notice as possible, and a minimum of 24 hours except in genuine emergencies.

The Coach maintains regular professional supervision and undertakes continuing professional development. A copy of the Coach's credentials and any relevant accreditations is available on request.

10. Intellectual Property

All materials, tools, frameworks, worksheets, and resources provided by the Coach during the coaching engagement remain the intellectual property of the Coach (or their licensors). The Client may use materials for their own personal development but may not reproduce, share, publish, or distribute them without the Coach's prior written consent.

The Coach will provide services with reasonable care and skill. However, the Coach cannot guarantee specific outcomes, results, or achievements from the coaching relationship. The Client enters into coaching of their own free will and accepts responsibility for their choices.

The Coach's liability under this Agreement is limited to the total fees paid by the Client in the three months preceding any claim. Nothing in this Agreement limits liability for death or personal injury caused by negligence, or for fraud.

Either party may terminate this Agreement by giving [2 / 4] weeks' written notice. Where sessions have been pre-paid and not yet delivered, the Coach will refund the pro-rated value of unused sessions on termination by either party (except where termination is due to the Client's breach).

This Agreement is governed by the law of England and Wales. Any disputes arising under or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of England and Wales.
